Agreement to These Terms

These Terms of Service govern your access to and use of SomebodyMakeIt, including somebodymakeit.com and any related software, project spaces, messaging, payment workflows, and services we make available (the "Platform").

By accessing or using the Platform, you agree to these Terms. If you use the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" includes that entity.

1. The Platform and Our Role

SomebodyMakeIt AS provides a platform that helps organizations, buyers, makers, manufacturers, designers, and other professional users discover each other, exchange information, manage project workflows, and use third-party services, including payment tools.

Unless we expressly state otherwise in a specific checkout flow, receipt, invoice, feature-specific term, or separate written agreement, SomebodyMakeIt acts only as a platform provider. We are not the manufacturer, seller, buyer, reseller, distributor, importer, exporter, merchant of record, payment institution, escrow agent, testing body, certification body, insurer, freight forwarder, customs agent, legal adviser, or agent for any user.

We are not a party to agreements made between users unless we expressly agree otherwise in a separate written agreement. Users are solely responsible for deciding whether to work together and for carrying out their own commercial, legal, tax, safety, technical, and regulatory due diligence.

Nothing in these Terms creates any partnership, joint venture, employment, agency, franchise, fiduciary, or similar relationship between SomebodyMakeIt and any user, or between users.

2. Eligibility and Accounts

The Platform is intended for adults and for professional or business use. You must be at least 18 years old and legally able to enter into binding agreements.

You must provide accurate, complete, and current information and keep your account credentials secure. You are responsible for all activity under your account, except to the extent caused by our own breach of these Terms or applicable law.

We may require identity, company, payment, tax, or other verification information where reasonably necessary for security, compliance, fraud prevention, payment operations, or Platform administration.

We may suspend, restrict, or terminate accounts, projects, or access if we reasonably believe there is fraud, abuse, unlawful activity, a security risk, a compliance issue, or a breach of these Terms.

3. Platform Use and User Conduct

You are responsible for the content, files, messages, briefs, specifications, pricing, approvals, drawings, designs, deliverables, and other materials that you upload, submit, send, or otherwise make available through the Platform.

We may, but are not obliged to, review, remove, restrict, preserve, or disclose content, accounts, or activity where we reasonably believe doing so is necessary for Platform operations, safety, legal compliance, enforcement, or protection of users, third parties, or SomebodyMakeIt.

You represent and warrant that:

  • you have all rights, permissions, and authority needed to upload, share, submit, and use your content and to enter into any project or transaction;
  • your content, projects, and use of the Platform do not violate applicable law or third-party rights; and
  • where you upload personal data, confidential information, or regulated information relating to another person or business, you have the necessary rights, notices, consents, and other lawful basis to do so.

You must not:

  • use the Platform for unlawful, misleading, fraudulent, infringing, abusive, discriminatory, or unsafe activity;
  • upload malware, malicious code, or harmful content;
  • interfere with Platform security, stability, or availability;
  • attempt unauthorized access to accounts, systems, or data;
  • scrape, harvest, or extract data from the Platform except as expressly permitted by us;
  • circumvent Platform fees, payment flows, or compliance checks; or
  • use the Platform to violate export controls, sanctions rules, product safety laws, labor laws, or other applicable law.

4. User-to-User Projects and Responsibilities

Projects, product work, deliverables, pricing, manufacturing details, timelines, payment schedules, warranties, refunds, returns, acceptance criteria, and other commercial terms between users are matters between those users.

Makers are responsible for their own capabilities, staffing, facilities, manufacturing methods, material choices, lead times, production quality, packaging, labeling, documentation, testing, traceability, delivery, product safety, recalls, and compliance with applicable law.

Clients, buyers, and other requesting users are responsible for the lawfulness, completeness, and accuracy of the briefs, designs, specifications, approvals, intended use, instructions, commercial assumptions, and market requirements they provide, and for ensuring they have the right to request the work.

Each user is responsible for its own taxes, permits, licenses, insurance, import or export obligations, customs matters, sanctions compliance, trade compliance, and other legal obligations relating to its products, services, and business.

We are not obliged to mediate, arbitrate, investigate facts, verify performance, enforce side agreements, or resolve disputes between users.

5. Payments, Fees, and Third-Party Services

Some Platform features may involve payments, payouts, refunds, reversals, disputes, or other money movement handled by third-party providers such as Stripe. Those services are subject to the provider's own terms, policies, privacy notices, verification requirements, compliance requirements, and technical limitations.

Platform fees, commissions, take rates, subscriptions, service charges, or other fees may apply where disclosed in the Platform, at checkout, in separate commercial terms, or in project-related flows.

The roles of the relevant parties for any payment or transaction, including who is payee, seller of record, or merchant of record, may depend on the specific payment flow, provider configuration, transaction documents, and applicable disclosures. Except where we expressly identify ourselves otherwise for a specific transaction, SomebodyMakeIt is acting only as the Platform provider.

Where available through the Platform or our providers' tools and rules, we may delay, hold, reverse, adjust, offset, recover, or refuse Platform-related payment actions or payouts where needed for refunds, disputes, chargebacks, fraud prevention, account verification, negative balances, legal compliance, provider requirements, or protection of the Platform and its users.

Refunds, reversals, disputes, and chargebacks may affect your payouts, balances, or amounts owed. We may recover amounts you owe us by offsetting them against payouts or other amounts otherwise due to you, where permitted by law and applicable provider terms.

We are not responsible for the acts or omissions of payment providers, and we do not independently guarantee payment collection, payout timing, chargeback outcomes, or recovery of disputed amounts.

Each user is solely responsible for determining and fulfilling its own tax obligations, including VAT, sales tax, import duties, withholding, income tax, and reporting obligations. We do not provide tax advice.

6. Intellectual Property, User Content, and Data Rights

As between you and SomebodyMakeIt, you retain ownership of your content.

As between users, ownership and licensing of designs, specifications, deliverables, improvements, background intellectual property, tools, methods, know-how, and project results must be agreed directly between the relevant users. As a general Platform rule, clients retain rights in the materials and specifications they provide, and makers retain rights in their pre-existing materials, tools, methods, know-how, and generic improvements, unless the relevant users agree otherwise. Ownership of project-specific deliverables and any transfer or license of rights between users remains a matter for those users to agree directly. SomebodyMakeIt does not determine or guarantee ownership of any particular deliverable, improvement, or other project output.

You grant SomebodyMakeIt and our service providers a non-exclusive, worldwide, royalty-free license to host, store, copy, reproduce, adapt, format, transmit, display, analyze, process, and otherwise use your content and related data:

  • to operate, maintain, secure, support, troubleshoot, and provide the Platform and related services;
  • to verify, investigate, prevent, detect, and respond to fraud, abuse, security incidents, disputes, and legal issues;
  • to enforce these Terms and comply with law;
  • to improve, develop, test, train, tune, evaluate, and operate analytics, algorithms, AI-assisted features, machine-learning systems, ranking, search, recommendation, workflow, moderation, fraud-prevention, and related product features and services; and
  • to create and use aggregated, statistical, benchmarking, anonymized, and de-identified information for any lawful business purpose.

Additional terms

If your content includes personal data, our processing of that personal data is also subject to our Privacy Policy and applicable law.

The Platform itself, including our software, design, branding, trademarks, logos, interfaces, and other Platform content, belongs to SomebodyMakeIt AS or our licensors. These Terms do not transfer ownership of our intellectual property to you. Except as permitted by law, you must not copy, modify, reverse engineer, decompile, disassemble, or create derivative works of the Platform.

7. Confidentiality

Users may share confidential, proprietary, or commercially sensitive information through the Platform. Each user is responsible for deciding what to share and with whom.

If information is clearly confidential by its nature or is identified as confidential, you must use it only for the relevant project or Platform purpose and must not disclose it except as permitted by law or agreement.

If your project requires stricter confidentiality, intellectual property, manufacturing, exclusivity, or quality terms, those should be addressed in a separate agreement between the relevant users.

This section does not limit SomebodyMakeIt's or its service providers' right to use content and data as permitted by these Terms, our Privacy Policy, or applicable law, including for Platform operations, security, support, analytics, and product improvement.

8. AI and Data-Driven Features

Because the Platform is evolving, we may use automation, analytics, ranking, search, recommendation, matching, moderation, workflow assistance, and AI-assisted features in connection with project briefs, sourcing, supplier discovery, communications, approvals, pricing, timelines, deliverables, and other Platform activity.

We may analyze how users move from concept, open call, sourcing, and prototyping through revisions, approvals, manufacturing, and delivery in order to improve the Platform, develop new tools, and support data-driven and AI-assisted features.

We do not guarantee the accuracy, quality, suitability, legality, or outcome of any AI-assisted or automated output. Users remain responsible for reviewing outputs and making their own decisions.

Where these activities involve personal data, we will process that data as described in our Privacy Policy and subject to applicable law.

9. Product Safety, Regulatory Compliance, and Recalls

Makers are responsible for ensuring that their products, deliverables, and manufacturing activities comply with applicable product safety, packaging, labeling, chemical, environmental, labor, export, and sector-specific requirements, including, where applicable, REACH, the EU General Product Safety Regulation, market-surveillance rules, and any local law that applies to the product or market.

Clients, buyers, and other requesting users are responsible for ensuring that the products they request, specify, import, market, distribute, or otherwise use are lawful for their intended use and markets, and that they meet any applicable importer, distributor, market-access, consumer-information, and regulatory requirements.

SomebodyMakeIt does not test, inspect, certify, monitor, store, or guarantee products or deliverables and is not liable for product defects, safety issues, personal injury, property damage, recalls, warnings, regulatory non-compliance, import issues, customs issues, or enforcement action relating to products, deliverables, or projects.

10. Beta Service, Availability, and Changes

SomebodyMakeIt is evolving and parts of the Platform may be in beta. Features may change, be added, limited, suspended, or removed at any time.

We do not promise uninterrupted availability, error-free operation, or that the Platform will meet every user need. We may perform maintenance, security updates, emergency actions, or provider-related changes that temporarily affect access or functionality.

We may update the Platform and these Terms from time to time. If we make material changes, we will provide notice in a reasonable way before the updated Terms take effect, unless immediate changes are required for legal, regulatory, security, or operational reasons.

11. Disclaimers

To the maximum extent permitted by law, the Platform is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, we disclaim all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, and uninterrupted availability.

We do not warrant or guarantee:

  • the quality, legality, safety, reliability, solvency, performance, or suitability of any user, project, product, deliverable, content, or communication;
  • that any project or commercial relationship will be completed successfully;
  • that any file, message, or content will be accurate, complete, or fit for any purpose; or
  • that third-party services will be available, secure, or error-free.

We do not provide legal, tax, regulatory, engineering, safety, customs, or product-compliance advice.

We are not responsible for delay, interruption, or failure caused by events beyond our reasonable control, including outages, cyber incidents, labor disputes, sanctions, trade restrictions, government action, natural events, wars, pandemics, infrastructure failures, or failures of third-party providers, networks, or services.

12. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

To the maximum extent permitted by law, SomebodyMakeIt AS and its affiliates, directors, officers, employees, licensors, and service providers are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, contracts, data, goodwill, reputation, or business interruption, arising out of or relating to these Terms, the Platform, or any user-to-user project or transaction.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Platform will not exceed the greater of:

  • the fees paid or payable by you to us during the 12 months before the event giving rise to the claim; and
  • NOK 10,000.

Application of this limitation

This limitation applies regardless of the legal theory and even if a remedy fails of its essential purpose.

13. Indemnity

You will indemnify, defend, and hold harmless SomebodyMakeIt AS and its affiliates, directors, officers, employees, and service providers from and against third-party claims, demands, actions, losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • your content, projects, products, deliverables, or transactions;
  • your use of the Platform;
  • your breach of these Terms;
  • your violation of applicable law or third-party rights; or
  • any dispute between you and another user.

Examples

This includes claims relating to intellectual property infringement, confidentiality breaches, product defects, personal injury, property damage, safety issues, recalls, customs issues, tax issues, labor issues, or regulatory enforcement arising from your conduct, products, or projects.

14. Suspension, Termination, and Survival

You may stop using the Platform at any time. If you want your account deleted, contact us using the details below.

We may suspend or terminate access immediately if we reasonably believe it is necessary to protect the Platform, other users, ourselves, or to comply with law, provider requirements, court orders, or enforcement requests.

Termination does not affect rights or obligations that arose before termination, including payment obligations, confidentiality duties, indemnity obligations, dispute-related rights, accrued claims, and provisions that by their nature should survive termination.

15. Privacy

Our processing of personal data is described in our Privacy Policy. By using the Platform, you acknowledge that your personal data will be handled as described there.

Where cookies, similar technologies, or other optional processing require consent under applicable law, that consent is handled separately through the relevant notice or consent control and is not created solely by agreeing to these Terms.

16. Governing Law and Disputes

These Terms are governed by Norwegian law, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Platform between you and SomebodyMakeIt shall be brought before the ordinary courts of Norway, with Oslo tingrett as the agreed venue, unless mandatory law requires otherwise.

Disputes between users are not governed by these Terms and must be resolved directly between the relevant users under applicable law.

17. General

If any part of these Terms is found unenforceable, the rest remains in effect.

Our failure to enforce any provision is not a waiver of our right to do so later.

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, in connection with a merger, financing, reorganization, sale of assets, or by operation of law.

These Terms, together with our Privacy Policy and any additional written terms we provide for specific features, subscriptions, payment flows, or services, form the agreement between you and us regarding the Platform.
